1. Intellectual Property Rights Agreement
This agreement outlines the rights, licenses, and limitations associated with the intellectual property of the Almost Famous Friends project, including the visual artwork of NFTs, written content (such as stories), and musical works (lyrics, melodies, AI-generated songs) co-created through the Platform.
By acquiring or using an Almost Famous Friends NFT and participating in any related creative activities, the user acknowledges having read and accepted these terms. This agreement applies to both primary and secondary owners of NFTs, unless superseded by a written agreement. In case of conflict, these terms shall prevail.
The purpose of this agreement is to protect the creators’ work while giving NFT holders and contributors the ability to enjoy and interact with the creative universe of Almost Famous Friends, in both personal and selective commercial contexts. As technologies and creative rights evolve, we reserve the right to revise this agreement.
2. Ownership and Licensing
All visual artworks, stories, musical compositions, lyrics, and published songs remain the exclusive intellectual property of Almost Famous Friends.
By submitting content (textual or musical) to the Platform, the contributor grants Almost Famous Friends a royalty-free, perpetual, irrevocable license to use, adapt, publish, modify, and distribute the content on any media or platform.
NFT holders do not acquire copyright over visual, written, or musical content. They receive a limited, non-exclusive license to display, share, and interact with their NFTs and contributions, as detailed below.
3. Personal Use License
NFT holders are permitted to use their NFTs and associated content (art, stories, music) for personal, non-commercial purposes, including display, social media, avatars, or digital galleries.
This includes sharing personal contributions, provided that the content is not modified in a way that violates the brand's values or community guidelines, and proper attribution is maintained.
4. Commercial Use (Artwork Only)
NFT holders are granted a limited, non-exclusive license to use the NFT artwork commercially (e.g., merchandise, brand imagery), but not the names "Almost Famous Friends", "AFF", "Almost Famous Writers", or "AFW", nor any character names, stories, or music.
Commercial use of NFTs must not be offensive, misleading, or harmful to the project’s reputation, and may not suggest endorsement by the team without written approval.
5. Music and Story Contributions
Contributors who submit lyrics, story segments, musical ideas, or similar content grant Almost Famous Friends the right to use, adapt, remix, and publish this material without compensation or royalties.
Final published works (e.g., songs on Spotify or stories on the platform) are considered collective works owned by Almost Famous Friends. Contributors retain no claim of copyright unless otherwise agreed in writing.
6. Community Reward Pool
Contributors whose written or musical ideas are selected for final releases may be eligible for monthly community rewards, distributed at the discretion of the Almost Famous Friends team.
Rewards may include cryptocurrency, NFTs, exclusive content, or early access. These are not royalties, and selection does not create a right to recurring payments. Eligibility and formats may vary.
7. Restrictions and Prohibited Uses
The following are strictly prohibited:
- Using NFTs or contributions to promote hate, violence, adult content, or illegal activities;
- Commercial use of stories, music, or characters without written permission;
- Reusing or modifying published songs or narratives for third-party distribution;
- Using the brand name, logos, or characters in advertising without approval;
- Attempting to register trademarks or copyright over any Almost Famous Friends assets.
Violation of these conditions may lead to license revocation, account suspension, or legal action.
8. Transfer and Termination
All licenses are valid only as long as the NFT is held by the user. Upon resale or transfer of the NFT, all rights are terminated and transferred to the new owner under the same conditions.
Unauthorized usage beyond the granted rights may result in immediate termination of licenses, with possible legal consequences.
9. Trademark Usage and Attribution
The use of the Almost Famous Friends name, logos, or characters in any public or commercial context requires prior written authorization.
For non-commercial mentions, owners may refer to "Almost Famous Friends" provided they do not harm the project's image or imply official endorsement. The creator may highlight community uses on official channels unless notified otherwise.
10. Revisions and Evolution
This agreement may be updated to reflect technological, legal, or strategic changes. Continued use of the Platform or ownership of an Almost Famous Friends NFT implies acceptance of the latest version of this agreement.
